These Terms of Use (the Terms) govern your access to and use of the AutoReply platform (the Service) at autoreply.clanai.sg, operated by Clan AI (we, us, our). By accessing or using the Service, you agree to be bound by these Terms.
1. Application of Terms
By accessing or using the Service you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, you must immediately cease using the Service.
2. Changes
We may amend these Terms at any time by updating them on the Service. Changes take effect immediately upon posting unless stated otherwise. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We may also modify, suspend, or discontinue the Service (in whole or in part) without notice or liability.
3. Definitions
In these Terms: including means including without limitation; Loss means any loss, damage, cost, expense, or liability of any kind; personal information has the meaning given in the Singapore Personal Data Protection Act 2012; Services means the AutoReply platform and related features; Underlying System means our infrastructure, software, and supporting systems; User ID means the credentials issued to you to access the Service; we, us, our means Clan AI; Website means autoreply.clanai.sg; you means the user accessing the Service.
4. Service Description
AutoReply is an AI-powered WhatsApp assistant platform. The Service may include automated reply generation, appointment booking, calendar synchronization, knowledge-base management, broadcast messaging, callback handling, and integrations with third-party services such as the WhatsApp Business Cloud API, Google Calendar, and payment processors. Features available to your account depend on your plan and configuration.
5. Registration and Account
- You must provide accurate and complete information when registering;
- You are responsible for maintaining the confidentiality of your User ID and credentials;
- You are responsible for all activity that occurs under your account;
- You must promptly notify us of any unauthorized access or suspected breach;
- Where you connect a WhatsApp Business number or other third-party account, you are responsible for ensuring you have authority to do so and for complying with that platform's terms.
6. Plans and Billing
The Service may be offered on subscription, usage-based, or credit-based plans. Plan inclusions, fees, and any non-refundable components will be made available to you at the point of purchase and may change from time to time. Where credits or quotas are consumed by activities such as appointment bookings, callback requests, reminders, or AI message processing, those credits are generally non-refundable once consumed.
7. Payment and Refunds
Payments are processed through third-party payment providers such as Stripe. Unless stated otherwise, fees are quoted in Singapore Dollars (SGD) and are subject to change. Refunds, if any, are governed by our refund policy in force at the time of purchase. Taxes and processing fees may apply.
8. Warranties by Users
- You will provide authentic and accurate information;
- You will use the Service at your own risk and exercise prudent judgment;
- You will comply with all applicable laws, including the WhatsApp Business Terms, anti-spam regulations, and data-protection laws;
- You will not send unsolicited or harmful messages through the Service;
- You are responsible for the content of all messages, AI prompts, and knowledge-base materials configured in your account.
9. Prohibited Uses
You must not:
- Use the Service for any unlawful purpose or to send harmful, deceptive, or misleading messages;
- Attempt to gain unauthorized access to the Service, the Underlying System, or other users' accounts;
- Use automated tools to access or scrape the Service except as expressly permitted;
- Interfere with the integrity or performance of the Service;
- Reverse engineer, decompile, or disassemble any part of the Underlying System;
- Use the Service to develop or operate a competing product;
- Remove or obscure proprietary notices.
10. Intellectual Property Rights
We and our licensors own all intellectual-property rights in the Service, the Website, and the Underlying System. You retain all intellectual-property rights in your customer data, conversation content, and business information. You grant us a limited, worldwide, royalty-free licence to use that data solely to provide, maintain, and improve the Service for you, in accordance with our Privacy Policy.
11. Disclaimers
To the maximum extent permitted by law, we and our licensors have no liability or responsibility to you or any other person for any unavailability of the Service, errors or inaccuracies in any information, AI-generated responses, third-party platform issues, viruses, or problems arising from linked sites. The Service is provided on an as-is and as-available basis.
12. Liability
You access and use the Service at your own risk. To the maximum extent permitted by law, we are not liable for any Loss suffered by you or any other person in connection with your use of the Service. Where liability cannot be excluded by law, our total aggregate liability is capped at SGD 100 or the amount of fees you have paid to us in the three (3) months preceding the event giving rise to the claim, whichever is greater. Nothing in these Terms excludes or limits any rights you may have under applicable consumer-protection legislation.
13. Suspension and Termination
We may suspend or terminate your access to the Service immediately and without notice if we reasonably believe you have breached these Terms or have engaged in conduct that could harm us, other users, or third parties. You may terminate your account at any time by contacting us. Unused credits or prepaid amounts are non-refundable unless expressly stated otherwise.
14. Indemnity
You agree to defend, indemnify, and hold harmless Clan AI, its employees, directors, officers, and agents from any claim, demand, or proceeding (including reasonable legal costs) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party right.
15. General
These Terms are governed by the laws of Singapore. The parties submit to the non-exclusive jurisdiction of the Singapore courts. If any provision of these Terms is found to be illegal or unenforceable, the remaining provisions will continue in full force and effect.
